These Terms and Conditions (“T&Cs”) govern the provision of marketing services by TradePal Marketing Ltd (“we,” “us,” “our”) to the client (“you,” “your”). By purchasing any of our packages, you agree to be bound by these T&Cs.
All service contracts are subject to a minimum commitment period of 12 months from the date of commencement.
Packages can be upgrades at anytime during the contract period.
You will receive written notice of the upcoming renewal detailed below. You may cancel the renewal by providing written notice at least 1 month (for annual packages) or 3 months (for monthly packages after the 12-month term) before the renewal date.
We offer two types of payments – annual or monthly.
Payments are due monthly in advance each month. Failure to make timely payments may result in suspension or termination of services.

Payments must be made by card using our card provider Stripe. Recurring monthly or annual payments will be set up to align with your subscription.
Interest on Late Payments. We reserve the right to charge interest on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. Unless otherwise agreed in writing, interest will be charged at a rate of 8% per annum above the Bank of England base rate, along with reasonable debt recovery costs. Interest will accrue daily from the due date until full payment is received.
In the event the customers withholds payment for any reason, TradePal may at its sole discretion;
a. the website from public view and pause any website updates
b. any social media activity on behalf of the customer
c. email forwarding and access
d. landline forwarding and access
e. TradePal App
2. The contract service fee will still apply in full
3. An administration fee will apply for the re-instatement of services
4. Re-instatement of services will only be made once the account is paid up to date
5. In the event that payment remains unpaid, the company reserves the right to commerce recovery of the full contract value, including legal fees, admin and interest
All service hours are specified per package. Unused time does not roll over to the next month.
You may cancel your subscription at any time after the 12 months fixed term with a 3-month notice period for monthly subscriptions and 1-month for annual subscriptions. We reserve the right to terminate services for non-payment or breach of these T&Cs.
In the event the customer wishes to cancel their contract before the due date, the full balance of the contract value remains payable in full.
To the maximum extent permitted by law, TradePal Marketing Ltd shall not be liable for any claims, damages, or losses arising out of or relating to these T&Cs or our services. This includes, but is not limited to, any direct, indirect, incidental, or consequential damages, loss of profits, data, or business opportunities. We shall not be liable for any loss or damage resulting from any errors, omissions, interruptions, delays, defects, or failures in the services provided. Additionally, we shall not be liable for any loss or damage arising from the use of or inability to use our services, including but not limited to, any loss or damage to your business, reputation, or goodwill. You acknowledge and agree that the use of our services is at your own risk and that you are solely responsible for any damages or losses that may result from such use. We shall not be liable for any third-party claims or demands, including but not limited to, claims or demands for infringement of intellectual property rights, defamation, or breach of privacy. Furthermore, we shall not be liable for any loss or damage arising from any unauthorized access to or use of your data or information. You agree to indemnify and hold us harmless from any claims, damages, or losses arising out of or relating to your use of our services or any breach of these T&Cs.
Nothing in these T&Cs shall limit liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law
These T&Cs are governed exclusively by the laws of England.
You may request to change your package tier at any time. Downgrading your package or changing the contract type will incur an administrative fee of £75. The new package tier will take effect from the next billing cycle following the receipt of your request and payment of the administrative fee. Please note that any changes to your package tier are subject to availability and approval by TradePal Marketing Ltd. We will notify you of any adjustments to your services and billing accordingly.
The App will remain accessible to the customer for 30 days at the end of the contract to give customers the ability to copy any required information. After 30 days, all data is permanently deleted and the app removed, including any telephony.
Clients are provided with credits in the TradePal app each month based on their package. Any spend above this credit level will be automatically charged to the card on file. It is your responsibility to ensure that a valid payment method is on file to cover any additional charges. Failure to maintain a valid payment method may result in suspension or termination of services. We reserve the right to adjust the credit amount or terms at any time with prior notice.
Rates and fees for our services in the TradePal App may vary based on charges from our third-party service providers. We reserve the right to adjust our pricing to reflect any changes in costs incurred from these providers.
Any social media accounts created by TradePal Marketing Ltd on your behalf are fully owned by TradePal Marketing Ltd. This includes, but is not limited to, accounts on platforms such as Facebook, Instagram, LinkedIn, and any other social media services. We reserve the right to manage, modify, or delete these accounts at our discretion.
Upon signing up for our services, you will be required to pay a set-up fee equivalent to one month’s fee of your chosen package. This set-up fee is a one-time charge that covers the initial setup and configuration of your services. The set-up fee is non-refundable and must be paid in full before we commence any work on your project.
All intellectual property rights, including but not limited to copyrights, trademarks, patents, and trade secrets, in any materials, content, or services provided by TradePal Marketing Ltd are and shall remain the sole and exclusive property of TradePal Marketing Ltd. This includes any content created, developed, or produced by us during the provision of our services, such as websites, social media accounts, marketing materials, and software. You are granted a limited, non-exclusive, non-transferable license to use the materials and content provided by us solely for the purpose of utilizing our services. You shall not reproduce, distribute, modify, or create derivative works from any of our intellectual property without our prior written consent. Upon termination or cancellation of our services, all rights to use our intellectual property shall cease immediately.
By signing up for our services, you agree to provide us with any content necessary for the provision of our services. You grant us permission to use, modify, and distribute any content supplied by you for the purpose of delivering our services. You represent and warrant that you have the necessary rights and permissions to provide such content and that its use by us will not infringe on any third-party rights.
You may continue to use any bespoke content or marketing materials created during the contract term, under a non-exclusive, royalty-free license, unless otherwise agreed.
In the event the contract is not renewed at the end of the contract period;
Domains and Social Media Accounts
Upon termination, you may purchase the rights to the below items for a one-time transfer fee, subject to approval
Option 1 – the website is deleted
Option 2 – the website can be hosted by TradePal with no support
Option 3 – the website can be transferred into the customers own account, to be managed by them or another party with the following fees applying;
We aim to deliver websites within a reasonable time frame, however, this timeline may be extended due to unforeseen circumstances. We will keep you informed of any delays and work to resolve them as quickly as possible.

We will retain your personal data only for as long as necessary to fulfil the purposes for which it was collected, including any legal, accounting, or reporting requirements.
We implement appropriate technical and organisational measures to ensure your data is secure, including encryption, access controls, and secure storage systems.
